This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Christian Hamacher, Hubertstraße 178a, D-45139 Essen ("Licensor") for the EIDOSDynamics software ("Software"). By installing or using the Software, you agree to be bound by the terms of this Agreement.
Grant: Licensor grants you a non-exclusive, non-transferable license to use the Software for non-commercial, private, or educational purposes only.
Cost: Free of charge.
Restriction: Use in a professional, commercial, or institutional environment is strictly prohibited under this tier.
Grant: Licensor grants you a commercial license for one (1) natural person to use the Software on a designated workstation.
Duration: The license is issued for twelve (12) months. After expiration, the Software reverts to the Personal Edition functionality unless renewed.
Feature Access: Includes the Local Web Server mode, advanced RAG features and a Professional Workflow Builder.
Grant: Licensor grants the entity a single domain-wide license (any subdomain acts as an additional domain) for use across the organization’s designated local network.
Deployment: Supports the features of the Professional Edition plus multi-user access via local infrastructure and Custom Agentic AI Workflows.
Commercial licenses (Professional) are either bound to a unique Hardware Identification (HID) generated by the Software. You agree to provide this HID for license generation.
The Software operates 100% offline. No prompt data, documents, or personal information are transmitted to the Licensor. License activation is performed via a hardware-bound key provided manually and via encrypted offline-compatible handshake.
All intellectual property rights in the Software remain with the Licensor.
Upon expiration of a Professional or Enterprise license, you retain the right to use the Software in its Personal Edition state indefinitely. Your local data and knowledge bases remain accessible on your hardware.
You may not decompile, reverse engineer, or attempt to derive the source code of the Software.
You may not redistribute or "sub-license" the Software to third parties without written consent from the Licensor.
You acknowledge that the Software uses Large Language Models (LLMs) which may generate inaccurate or misleading information ("Hallucinations").
It is your sole responsibility to verify all outputs, especially in legal, medical, or corporate environments. Licensor is not liable for damages resulting from the use of AI-generated content.
The Software is provided "as is" without warranty of any kind.
The place of performance for all contractual obligations is Essen, Germany. For customers, Essen shall be the place of jurisdiction for all disputes arising from the relevant contractual relationship. This also applies to legal entities under public law or special funds under public law. However, Licensor is also entitled to bring legal action at the customer's place of residence or business. Any exclusive place of jurisdiction shall take precedence.
This Agreement is governed by the laws of the Federal Republic of Germany excluding the provisions of private international law and the UN Convention on Contracts for the International Sale of Goods (CISG)
The invalidity of any provision of this Aggreement shall not affect the validity of the remaining provisions. Should this occur, the invalid provision shall be replaced by a legally permissible provision that most closely reflects the intent and purpose of the invalid provision.
